7C Consult will prepare the Project Information Memorandum, which serves as a reference document throughout the sales negotiations. We will shortlist a selective number of potential buyers, to whom we will sent to the PIM.
Our experience in this type of project will enable you to put together a solid case. At the same time, our analysts prepare the necessary financial models with you (P90 Base Case models) for the negotiations and estimation your asset’s sale price.
Streamlining the process towards the deals closure
Once the preferred bidder(s) have been identified, 7C Consult will assist during the next steps, organizing the data room, prepare on site visits and management presentations, while supervising the acquisition audit and preserving confidentiality. We also help you with formalizing the letter of intent (or Term Sheet) and establishing the bases for the transaction (valuation, means of payment, financing and guarantees).
Additionally, 7C Consult can be assigned to work on the buy side, whereby 7C will work with investors to select the matching RES project profile with the investors investment profile on main three levels : legal , financial and operational. In order to pass our legal screening, projects need to have all required permits(building, operate and grid) in place. Financial due diligence will focus on bankability of the project design, EBITDA forecasts and DSCR projection. Operational due diligence will analyse the expected irradiation, O&M contracts , Insurance policies etc.
